Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Toto AI (“Toto”, “we”, “us”, or “our”), including the website at https://toto.bot, the Toto Telegram bot, AI agents created through Toto, and related features, integrations, tools, and services (collectively, the “Services”).

By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and account

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

Your access to Toto may be linked to your Telegram account or another supported authentication method.

You are responsible for:

• keeping your account and credentials secure;
• activity performed through your account;
• Agents and Telegram bots created for you;
• Connected Services you authorize; and
• instructions you provide to Toto or your Agents.

If you believe your account, Agent, or credentials have been compromised, contact us at support@toto.bot.

2. Using the Services

Toto allows you to create and use AI-powered agents (“Agents”) that can interact with you and, where enabled, perform tasks on your behalf.

Depending on the features and integrations you use, an Agent may:

• communicate with you through Telegram;
• remember information you provide;
• create reminders or scheduled tasks;
• access calendars, email, spreadsheets, files, RSS feeds, APIs, and other services;
• retrieve and process information;
• generate content; and
• perform actions through Connected Services.

You are responsible for deciding which information, permissions, accounts, and capabilities you provide to an Agent.

3. Input, Output, and Actions

You may provide messages, instructions, files, data, and other materials to the Services (“Input”).

You represent that you have the rights and permissions necessary to provide that Input and allow Toto to process it.

The Services may generate responses, summaries, files, code, recommendations, or other content (“Output”).

AI-generated Output may be inaccurate, incomplete, outdated, or misleading. You are responsible for reviewing Output before relying on it.

Agents may also perform actions on your behalf (“Actions”), including interacting with third-party services.

By instructing an Agent to perform an Action, you authorize Toto to perform that Action on your behalf.

Some Actions may be difficult or impossible to reverse. You are responsible for the consequences of Actions performed according to your instructions.

Any transaction, reservation, submission, purchase, communication, or other commitment made by an Agent at your instruction is treated as having been made by you.

4. Connected Services

You may connect third-party services to Toto or an Agent (“Connected Services”), including services such as Telegram, Google services, calendars, email providers, spreadsheets, APIs, and other applications.

By connecting a service, you authorize Toto to access and interact with that service within the permissions you grant and according to your instructions.

Your use of Connected Services is also subject to the applicable third party's terms and policies.

Toto does not control Connected Services and is not responsible for their availability, security, accuracy, or functionality.

You may revoke access to a Connected Service through Toto where available or directly through the relevant third-party provider.

5. Your Materials

Your Input and Output are collectively referred to as your “Materials.”

Toto does not claim ownership of your Input.

As between you and Toto, and to the extent permitted by applicable law, you retain your rights in your Input and any rights you may have in Output generated for you.

You grant Toto a non-exclusive, worldwide, royalty-free right to process, store, transmit, reproduce, and otherwise use your Materials only as reasonably necessary to:

• provide the Services;
• operate your Agents;
• perform your requests and Actions;
• provide memory and integrations;
• maintain and secure the Services; and
• comply with applicable law.

6. AI limitations

AI systems can make mistakes.

Toto and its Agents may:

• misunderstand instructions;
• provide incorrect information;
• fail to complete a task;
• produce unexpected results; or
• perform an Action differently from what you expected.

You should independently verify important information and review significant Actions.

Toto is not a substitute for professional legal, medical, financial, tax, investment, or other professional advice.

You should not rely solely on Toto for decisions that could have significant legal, financial, medical, employment, or other consequences.

7. Acceptable Use

You may not use Toto or instruct an Agent to:

• violate applicable law;
• violate another person's rights;
• commit or facilitate fraud;
• impersonate another person deceptively;
• harass, threaten, stalk, or abuse another person;
• send spam or unauthorized bulk communications;
• gain unauthorized access to accounts, systems, networks, or data;
• obtain or disclose credentials without authorization;
• distribute malware or malicious code;
• interfere with the operation or security of the Services;
• bypass usage limits, access controls, or security systems;
• exploit vulnerabilities;
• unlawfully monitor or track another person; or
• help another person do any of the above.

We may restrict, suspend, or terminate access where we reasonably believe use of the Services violates these Terms or creates material legal, security, or operational risk.

8. Paid Services

Some Toto features may be free, while others may require payment.

The applicable price, billing period, included features, and usage limits will be shown before purchase.

If a subscription automatically renews, it will continue renewing until cancelled.

By purchasing an automatically renewing subscription, you authorize the applicable payment processor to charge the payment method associated with the subscription at each renewal.

Unless otherwise stated, cancellation takes effect at the end of the current paid billing period.

Except where required by applicable law or expressly stated otherwise, payments are non-refundable.

We may change prices or introduce new paid plans in the future. Where required by law, we will provide notice before a material price change affects an existing subscription.

9. Ownership and license

Toto and its licensors retain all rights in the Services, including the software, systems, interfaces, designs, branding, infrastructure, and other intellectual property used to provide Toto.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your personal or internal business purposes.

You may not, unless expressly authorized or permitted by law:

• copy, sell, rent, license, or resell the Services;
• reverse engineer or attempt to extract source code;
• bypass technical restrictions or rate limits;
• interfere with the operation of the Services; or
• falsely represent yourself as affiliated with or endorsed by Toto.

10. Third-party services and availability

Toto depends on third-party services, including Telegram, AI providers, cloud infrastructure, APIs, payment providers, and Connected Services.

We do not guarantee that any third-party service, feature, integration, Agent capability, or AI model will remain available indefinitely.

The Services may be interrupted by maintenance, outages, API changes, infrastructure failures, security incidents, or circumstances outside our reasonable control.

We may add, modify, restrict, suspend, or discontinue features from time to time.

11. Disclaimers and liability

To the maximum extent permitted by applicable law, the Services, Agents, Outputs, and Actions are provided on an “as is” and “as available” basis.

We do not guarantee that:

• the Services will always be available or error-free;
• Output will be accurate, complete, or suitable for your purpose;
• an Agent will correctly understand every instruction;
• an Action will produce the intended result; or
• third-party services will remain available or compatible with Toto.

To the maximum extent permitted by law, Toto will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill.

To the maximum extent permitted by applicable law, Toto's total aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of:

1. USD 100; or
2. the amount you paid to Toto during the 12 months preceding the event giving rise to the claim.

Nothing in these Terms limits rights or liability that cannot lawfully be excluded or limited.

12. Suspension and termination

You may stop using Toto at any time.

We may restrict, suspend, or terminate access to the Services if:

• you materially violate these Terms;
• your use creates legal, security, or operational risk;
• your account appears to be used fraudulently;
• payment for a paid Service is not received;
• a third-party platform prevents us from providing the Services; or
• applicable law requires us to do so.

We may also discontinue some or all of the Services.

Where reasonable and legally permitted, we will attempt to provide notice before a material suspension or termination.

13. Privacy

Our Privacy Policy explains how we collect, use, store, and share information in connection with the Services.

14. Changes to these Terms

We may update these Terms from time to time.

When we do, we will update the “Last revised” date above.

If a change materially affects your rights or obligations, we may provide additional notice through Toto, Telegram, our website, email, or another appropriate channel.

If you do not agree to the updated Terms, you must stop using the Services.

15. Disputes and applicable law

If a dispute arises relating to Toto or these Terms, you and Toto agree to first attempt to resolve it informally.

Nothing in these Terms limits any mandatory consumer protections, rights, or remedies available to you under applicable law.
